01What changes because you live here

The tax treaty

In force

The United States and Canada have an income tax treaty in force. It can lower the US tax withheld on dividends, interest and royalties paid to you, if you claim it on a W-8BEN with your Canadian tax number, and it settles which country taxes what when both could.

Stripe

Available locally

Stripe takes businesses registered in Canada, so you don't need a US company to use it. A US LLC gets you a US Stripe account instead, paid out in dollars to a US bank, which helps when most of your customers are American.

Banking

Mercury available

Mercury opens accounts remotely for US companies whose founders live in Canada. It asks for the EIN, the formation documents, your passport, a real business address and a description of the company's existing or planned US operations. Relay asks a non-US owner for a US address, an ITIN or Social Security Number and a US operating presence, so it rarely suits a founder living in Canada.

The time difference

02What Canada expects

Owning a US company doesn't take you out of Canada's tax system.

Canada taxes its residents on income from anywhere in the world. Whether the LLC's profit counts as yours as it's earned, or only when you take it out, depends on how Canada treats a US LLC, and that's a question for a local tax adviser.

  • The Canada Revenue Agency treats a US LLC as a corporation, while the IRS treats a single-owner LLC as see-through. Canada can then tax the LLC's profit as a company's and tax you again when it's paid out, and the treaty relief that normally prevents double tax doesn't fit an LLC well. Most Canadian founders are better served by a US C-Corporation, or should take advice before ordering an LLC.
  • A company centrally managed and controlled from Canada is Canadian-resident for tax, and Canada's foreign accrual property income rules reach passive income earned in foreign companies.
  • The US-Canada treaty is in force and detailed, which is the reason to use a cross-border accountant rather than a general one.

Usually not without advice. The CRA treats an LLC as a corporation and the IRS treats a single-owner LLC as see-through, and that mismatch can mean tax in both countries with no credit. Most Canadian founders selling into the US are better off with a US C-Corporation, which we also form. We'd rather say this before you order an LLC than after.

Yes. The United States doesn't require an LLC's owners to be US citizens or residents. You'll need a registered agent in the state, which every plan includes, and your passport for the bank. The filing is the same wherever you live. What changes is the tax treaty, the payment processors and the banks, which this page covers.
