Which state should your LLC be in?

We file in Wyoming and Delaware, and the difference is not a matter of taste. Wyoming costs little to keep a company in. It charges $60 a year, approves an online filing the same day it is filed, and names no owner on the public register. Delaware charges $400 a year for an LLC and takes two to three weeks at its ordinary speed. That is worth paying when US investors are real.

We check the name against the state's register before we file anything. We draft the articles from your order. The state fee is passed through at what the state charges us, with nothing added. The other forty-nine states each have a page with their own figures and an honest answer about whether a founder abroad should be there. It is usually no, and the guide explains why.

DEDelaware

Delaware is the state US investors' paperwork is written for, and its Court of Chancery is known for handling business disputes. That reputation costs $400 a year, whether or not the company trades, which is several times Wyoming's charge. For most founders abroad forming an LLC, Wyoming is the better fit. If you're raising from US investors, you'll usually want a Delaware C-Corporation rather than an LLC, and we form those too.

Wyoming costs $60 a year to keep a company in, has no state income tax, and keeps your name off the public record. It's also the state banks and payment processors expect to see from a non-resident. Some states charge less, but few are as familiar to the people reviewing your application. We form almost every LLC here, because nothing about it will cost you money or attention later.

02What arrives

What do you get when the company is formed?

The state returns a stamped certificate of formation. It carries the company's file number and the date it came into existence. That certificate and the EIN we get next are the two things every bank and processor asks for. Both land in your documents. A signed link shows them to a bank without giving anybody an account.

You also get the operating agreement, the contract between the members that the state never sees and a bank always asks for. We act as your registered agent for the first year. And we put the two dates every foreign-owned LLC owes on one calendar.

Because for a founder outside the United States, these two cover what matters. Wyoming costs little to keep a company in, and it keeps owners off the public register. Delaware is what US investors' paperwork assumes. Some other states cost less, but they're less familiar to the banks and processors reviewing a non-resident. If your business really needs another state, we'll say so before you order.

When the company will have a physical presence there: an office, employees, a warehouse, or property. A company that operates in a state usually has to register there, whether or not it was formed there. Forming somewhere else first can mean paying two states.

Only the state's own charges. Federal tax follows from what the company does and where, not from where it was formed. Wyoming has no state income tax. Delaware charges no income tax on a company that doesn't operate there. Neither changes what the IRS expects.

Yes. You don't need to be a US citizen or resident to own a US company, and you never have to visit. You do need a registered agent with an address in the state, and every plan includes one for the first year.

Yes. It's one of the most common places founders get stuck. The IRS online application needs an SSN or ITIN, so without one the application goes by a slower route that someone has to chase. We file it the day your company exists and chase it until the number arrives.
