State income tax
No Delaware income tax on a company that doesn't do business in Delaware. The $400 is a flat yearly tax.
The public record
The certificate names only the registered agent and the person who signed it. Members and managers are not public.
On the recurring charge
Delaware raised it from $300 to $400 under House Bill 400, backdated to 1 January 2026. If you pay late, there's a $200 penalty plus 1.5% interest a month.

02The straight answer
Why do we file in Delaware?
Delaware is the state US investors' paperwork is written for, and its Court of Chancery is known for handling business disputes. That reputation costs $400 a year, whether or not the company trades, which is several times Wyoming's charge. For most founders abroad forming an LLC, Wyoming is the better fit. If you're raising from US investors, you'll usually want a Delaware C-Corporation rather than an LLC, and we form those too.

Yes. House Bill 400, signed on 21 May 2026, raised Delaware's yearly LLC tax from $300 to $400, backdated to 1 January 2026. Most guides still say $300. The tax is due by 1 June every year, and a Delaware LLC files no annual report.
Yes. Delaware, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Delaware. Its recurring filing is due by 1 June each year, as the annual LLC tax.
