01The route
What does a registered agent actually do?
If the company is ever sued, the papers are handed to the agent. That is called service of process, and we scan them to you the same day. If nobody can be found to accept them, a court can carry on without the company ever knowing. State notices come the same way, like the annual report reminder or a tax notice, and each one goes into your documents the day it lands.
A company with no valid agent gets moved out of good standing and, in the end, dissolved. So the agent is what keeps the state's file open. It isn't a mailbox, though. The address is the company's legal address, not somewhere for customer post or a bank card. The state's own yearly charge is separate, $60 in Wyoming and $400 for a Delaware LLC, and we pass it through with nothing added. We email you before any renewal is taken.

02What arrives
What arrives at the agent's address?
Legal papers and state notices both arrive on paper, at an address you'll never visit, in a country you may never have been to. That's the problem the agent solves. Somebody has to be standing there, and the state won't accept an answer that begins “I live in Lagos”.
Everything is scanned the day it arrives and put in your documents. From there, a signed link can show a bank one document without giving anybody an account. Anything with a deadline goes on the same calendar as the annual report and Form 5472, with the fee shown next to the date.

Yes. A transfer keeps the company as it is, with its name, file number and formation date, and changes the agent to us. Ordering takes a few minutes. The state takes a few days to record it.
The state gives you a short window to appoint a new one. After that it moves the company out of good standing and, eventually, dissolves it. That's why we email you before the renewal, and why it's on your calendar.
