How it works

Seven steps, and you are only in two of them.

You answer the questions once and sign one document when it is ready. We chase everything else. You watch each step move on the tracker, and it tells you who it is waiting on and for how long.

01The pipeline

What happens after you order?

Every company goes through the same seven steps. Steps that belong to one plan only are not shown here, so nothing on the tracker is a thing that will never happen.

    Waiting on you

    You answer the questions about the structure, the state, the name, the owners and your address. It takes a few minutes, and each trade-off is explained on the screen where you make it. Nothing is charged until you have seen the whole order and confirmed it. Then payment clears and the tracker opens.

  2. 02

    Waiting on us

    We check your name against the Wyoming or Delaware register before we file anything. If it clashes, we tell you which name was refused and ask for another. We do not charge a second time. Same business day.

  3. 03

    Waiting on us

    We draft the Articles of Organization from your answers and file them with the Secretary of State. For a corporation it is a Certificate of Incorporation. We pay the state fee for you, add nothing to it, and put the receipt in your documents.

  4. 04

    Waiting on the state

    The state issues the certificate and the file number. Wyoming approves the company the same day it is filed. Delaware takes two to three weeks. In Wyoming, $75 puts your filing ahead of our next batch. In Delaware, the state's own next-day service costs $110 plus $50 to the state. Premium includes both.

  5. 05

    Waiting on the IRS

    We file the SS-4 the day the company exists, by the route the IRS keeps for founders with no Social Security Number, and chase it until the number arrives. Twenty to thirty business days is normal. The expedited EIN, $199 as an extra on any plan, usually brings the number back in one to two weeks.

  6. 06

    Waiting on you

    We draft it for your members with the ownership recorded, send it to you to sign, and file it in your documents. For a corporation, it is the bylaws and the first board consents. Five minutes of your time.

  7. 07

    Waiting on nobody

    Your certificate, EIN letter, operating agreement and registered agent details are in your documents. Your compliance calendar has your two real dates on it. The bank and processor introductions open the same day.

02What we need from you

Five things, once.

Nothing else. No visit, no notary, no US address, no Social Security Number. If a form needs something you have not given us, we ask for it at the step where it is needed.

Your address abroad, the real one. It goes on the operating agreement and the EIN application, and the bank checks it against a statement or bill.

The company's business, in a sentence. The IRS asks for it on the EIN form. The bank asks harder.

Two or three names, in case the first is taken. We check before we file, and a second name saves a day.

The ownership split, if there is more than one of you. Percentages, and who manages.

03While you wait

What does the tracker tell you?

Each step shows who it is waiting on: us, the state, the IRS, or you. When a step is blocked, the tracker says why in plain words. When a name is refused, it tells you which one.

In Wyoming, we check the name the same business day and the state approves the company the day it is filed. The EIN takes twenty to thirty business days after that on the ordinary route, or one to two weeks expedited. Delaware adds two to three weeks at the state. Most companies are fully in hand in five to seven weeks, or three to four with the expedited EIN.

We tell you which name the state refused and ask for another. The second and third names you gave at order are checked first. There is no second charge, and the filing goes in the same day the new name clears.

Until we file, you get a full refund. Once the state approves, the company exists. You can keep it, move it to another agent, or have us close it properly, with the articles of dissolution and the final tax forms.
