01The route
How does moving your company work?
You start by telling us about the company, including its name, state, file number, current agent and owners. On the same business day, we check the state's own record. If the company is behind on anything, like a lapsed agent or an unpaid yearly charge, we tell you what it takes to fix before we change anything.
Then we file a statement of change of registered agent with the state. Wyoming records it the same day it is filed, and Delaware takes two to three weeks. If the state charges to record the change, we pass that on at cost and tell you first. Nothing about the company changes while it's pending. It keeps the same name, the same EIN, the same formation date and the same contracts.

02What arrives
What do you get after the move?
Your formation documents, your EIN letter and your operating agreement come into your documents. Your yearly dates are counted from the date the state stamped when the company was formed, not from the day you signed up with us, so the first reminder lands when the state actually expects the filing.
If your last provider only sold you a formation, the calendar may be new to you. A foreign-owned US company owes two things a year, and both go on it with the fee shown. From then on we're your registered agent, so the state's letters come to your documents instead of somewhere you can't see them.

The state's yearly charge and Form 5472 go on one calendar, each with its fee shown before it's due. They're counted from the date your company was actually formed.

No. The company keeps its name, file number, formation date and EIN. The only things that change are its registered agent, which becomes us, and where its records are kept, which is with us from now on.
You pay for the plan you choose at its normal price, plus a one-time transfer fee of $99 for changing the agent and rebuilding your records. That takes the place of the state filing fee a new company would pay. If the state charges to record the change, we pass that on at cost and tell you first.
We act as registered agent in Wyoming and Delaware only. A company formed in another state can be moved to Wyoming, but that's a separate filing in both states. Email us the details and we'll tell you what it involves.
Then the company may already be out of good standing. We check the state's record the same business day you order. If the company is behind on anything, we tell you what it takes to put right, and what the state charges for it, before we change anything.
The transfer form asks. On Standard and Premium, we apply for one as part of the move, by the route that doesn't need a Social Security Number.
