Connecticut taxes an owner's share of profit earned in Connecticut. A non-resident owner with no Connecticut activity generally owes none, and the entity-level tax has been optional since 2024.

Should a founder abroad form in Connecticut?

Connecticut sits in the middle on cost, at $120 to form and $80 a year. The bigger issue for a founder abroad is privacy. The certificate has to name at least one member or manager, with a home address as well as a business one, and the names show up in the state's public business search. Wyoming costs less over five years and doesn't ask for either.

Yes. The certificate of organization names at least one member or manager, with both a business address and a residence address. The Secretary of the State can accept a business address instead if you show good cause, such as a real risk to your safety if your home address were public.

Yes. Connecticut, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Connecticut. Its recurring filing is due between 1 January and 31 March each year, starting the year after the LLC is formed.

It costs $120 to file, and then $80 a year. Over five years that comes to $440 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Connecticut, it'll need to register there whichever state formed it, and we'll tell you so before you order.
