State income tax

Minnesota taxes an owner's share of profit earned in Minnesota. An LLC taxed as a partnership also pays a minimum fee once its Minnesota property, payroll and sales together pass a threshold, and a company with no Minnesota business owes neither.

The public record

The articles list the organizers, and the annual renewal names the manager, or whoever runs the LLC, with a business address. Both are public.

On the recurring charge

There's no fee, but an LLC that misses the renewal is dissolved by the Secretary of State. It can come back by filing the current year's renewal and paying a reinstatement fee.

02The straight answer

Should a founder abroad form in Minnesota?

Minnesota charges $155 to form an LLC online, one of the higher fees, and then nothing, because the annual renewal is free. Missing that free renewal is costly, though. The state dissolves the LLC, and getting it back means filing the renewal and paying a reinstatement fee. The renewal also puts the manager's name and business address on the public record. Minnesota is cheaper than Wyoming over five years, but Wyoming keeps your name off the record and is the state banks expect to see from abroad.

It does require a registered office at a street address in Minnesota, though naming a registered agent there is optional. Its recurring filing is due by 31 December each year, starting the year after the LLC is formed.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Minnesota, it'll need to register there whichever state formed it, and we'll tell you so before you order.
