State income tax

New York taxes an owner's share of profit earned in New York. An LLC with New York income pays a yearly filing fee that rises with that income, and New York City adds its own unincorporated business tax.

The public record

The articles name the organizer and an address for legal papers. Members and managers are not required, and the state's LLC Transparency Act doesn't apply to LLCs formed in the US.

On the recurring charge

An LLC with income from New York also pays a yearly filing fee to the Department of Taxation, from $25 to $4,500 depending on that income.

02The straight answer

Should a founder abroad form in New York?

New York's publication rule can cost more than the company did. Within 120 days, a new LLC has to run a notice in two newspapers for six weeks, and in Manhattan that often runs well over $1,000. A company doing business in New York City also pays a city tax that most places don't have. A New York LLC makes sense for a business that will actually be in New York. A founder abroad who simply likes the city is better off forming in Wyoming and registering in New York if the business ever gets there.

It depends on the county of the LLC's office, because that decides which newspapers the county clerk designates. Outside New York City it can be a few hundred dollars. In Manhattan the two newspapers often charge well over $1,000 between them for the six weeks. The certificate of publication then costs $50 to file, and an LLC that doesn't publish within 120 days can have its authority to do business suspended.

Yes. New York, like every state, doesn't require an LLC's owners to be US citizens or residents. Nor does it insist on a registered agent, because the Secretary of State accepts legal papers for every New York LLC and forwards them to an address the LLC gives. Its recurring filing is due in the month the LLC was formed, every second year, starting two years after formation.

It costs $200 to file, and then $9 every two years. Over five years that comes to $268 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in New York, it'll need to register there whichever state formed it, and we'll tell you so before you order.
