02The straight answer

Should a founder abroad form in Vermont?

Vermont charges $155 to form an LLC and $45 a year for the annual report, so five years cost about the same as Wyoming. The report lists the members or managers with their addresses, though, and an LLC taxed as a partnership that does business in Vermont also pays a business entity tax of at least $250 a year. That's a reasonable deal for a company based in Burlington. For a founder abroad, Wyoming keeps your name off the record for much the same money.

Only if it does business in Vermont. An LLC taxed as a partnership with Vermont income or activity pays the business entity tax to the Department of Taxes, with a $250 minimum. The $45 annual report to the Secretary of State is separate.

Yes. Vermont, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Vermont. Its recurring filing is due within three months after the LLC's financial year ends, which is by 31 March for most companies, starting the year after formation.

It costs $155 to file, and then $45 a year. Over five years that comes to $335 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Vermont, it'll need to register there whichever state formed it, and we'll tell you so before you order.
