Texas has no personal income tax. A franchise tax on margin applies only once annual revenue passes $2.65 million, the threshold for 2026 and 2027 reports.

The public record

The certificate of formation lists every manager, or every member if there are no managers, with an address, and the Public Information Report lists them each year. Both are public.

No franchise tax is owed while annual revenue stays at or below $2.65 million, the threshold for 2026 and 2027 reports. The Public Information Report still has to be filed every year.

02The straight answer

Should a founder abroad form in Texas?

Texas suits a business that will actually operate there. Forming an LLC costs $300, and after that there's no fee, but a Public Information Report is due every May. The certificate and that report both list the managers, or the members, with addresses, on the public record. Franchise tax only starts once revenue passes $2.65 million. If you'll be in Texas, form there. If you won't, Wyoming costs about the same over five years and keeps your name off the record.

Usually not. For 2026 and 2027 reports, no tax is owed if annual revenue is $2.65 million or less, and the LLC doesn't file a No Tax Due Report. It still files a Public Information Report every year by 15 May, which lists its managers or members.

Yes. Texas, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Texas. Its recurring filing is due by 15 May each year, starting the year after the LLC is formed, with the Public Information Report.

It costs $300 to file, and nothing after that, though a free report is due every year. Over five years that comes to $300 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Texas, it'll need to register there whichever state formed it, and we'll tell you so before you order.
