Mississippi taxes an owner's share of profit earned in Mississippi. A non-resident owner with no Mississippi activity generally owes none, and there's no franchise tax on LLCs.

The public record

The annual report lists every manager of a manager-managed LLC, or at least one member of a member-managed one, with an address, and it's public.

02The straight answer

Should a founder abroad form in Mississippi?

Mississippi costs $50 to form and nothing a year in state fees, which makes it one of the cheapest states there is. The free annual report still has to be filed online by 15 April, and it names every manager, or at least one member if the members run the company. An LLC that skips it can be dissolved. On cost, Wyoming can't compete. Wyoming does keep your name off the record, though, and a bank reviewing a founder abroad is far more used to seeing it.

Mississippi is right anyway when

  • You'll have staff, an office, a warehouse or property in the state
  • A bank, a marketplace or a licensing body has told you the company must be formed in this state

Not in state fees. The annual report is free for a Mississippi LLC and due by 15 April every year, starting the year after formation. It has to be filed online, it lists the managers or at least one member, and an LLC that doesn't file can be administratively dissolved.

Yes. Mississippi, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Mississippi. Its recurring filing is due between 1 January and 15 April each year, starting the year after the LLC is formed.

It costs $50 to file, and nothing after that, though a free report is due every year. Over five years that comes to $50 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Mississippi, it'll need to register there whichever state formed it, and we'll tell you so before you order.
