State income tax

Pennsylvania taxes an owner's share of profit earned in Pennsylvania. A non-resident owner with no Pennsylvania activity generally owes none, and there's no franchise tax on LLCs.

The public record

The certificate names the organizer, and the annual report must name at least one governor, meaning a member or manager. Both are public.

On the recurring charge

From the 2027 reports, an LLC that hasn't filed within six months of the deadline is administratively dissolved. A report missed in 2025 or 2026 only marks the company as delinquent.

02The straight answer

Should a founder abroad form in Pennsylvania?

Pennsylvania only started asking LLCs for an annual report in 2025, and at $7 it's one of the lowest yearly fees of any state, so five years cost less than half of Wyoming's. The report does have to name at least one governor, meaning a member or a manager, and from 2027 an LLC that stops filing is dissolved. For a company based in Philadelphia or Pittsburgh that's easy to live with. For a founder abroad, the low fee doesn't make up for Wyoming keeping your name off the record.

Yes. Pennsylvania, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered office in Pennsylvania, which a founder abroad usually gets through a commercial registered office provider, Pennsylvania's version of a registered agent. Its recurring filing is due between 1 January and 30 September each year, starting the year after the LLC is formed.

It costs $125 to file, and then $7 a year. Over five years that comes to $153 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Pennsylvania, it'll need to register there whichever state formed it, and we'll tell you so before you order.
