State income tax

Utah taxes an owner's share of profit earned in Utah. A non-resident owner with no Utah activity generally owes none, and there's no franchise tax on LLCs.

Members and managers are optional on the certificate, but the annual renewal must name at least one member, manager or other governing person, and it's public.

02The straight answer

Should a founder abroad form in Utah?

Utah is cheap to keep an LLC in, at $59 to form and $18 a year, so five years cost well under half of Wyoming's. The catch is the annual renewal, which has to name at least one member, manager or other governing person on the public record. For a company based in Salt Lake City, that's an easy trade. For a founder abroad who wants their name kept out, Wyoming costs more and does it.

Not when it's formed, because members and managers are optional on the certificate of organization. The annual renewal is different. Every year, starting the year after formation, it has to name at least one member, manager or other governing person, and Utah's business search shows that name.

Yes. Utah, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Utah. Its recurring filing is due by the end of the month the LLC was formed in, each year starting the year after.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little.
