02The straight answer

Should a founder abroad form in Idaho?

Idaho is about as cheap as an LLC gets. It's $100 to form online, and the yearly report costs nothing, so five years cost less than a third of Wyoming's. The catch is the public record. The certificate has to name at least one governor, which in Idaho means a member or a manager, with a mailing address. If that doesn't bother you, Idaho is an easy state to keep a company in. If it does, Wyoming costs more and leaves your name out.

Idaho is right anyway when

  • You'll have staff, an office, a warehouse or property in the state
  • A bank, a marketplace or a licensing body has told you the company must be formed in this state

If yours is not here, email us at [email protected] before you order.

Yes. Idaho charges nothing for it. It's due by the end of the month the LLC was formed in, every year starting the year after, and it still has to be filed. An LLC that doesn't file can be administratively dissolved.

Yes. Idaho, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Idaho. Its recurring filing is due by the end of the month the LLC was formed in, each year starting the year after.

It costs $100 to file, and nothing after that, though a free report is due every year. Over five years that comes to $100 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Idaho, it'll need to register there whichever state formed it, and we'll tell you so before you order.
