State income tax

New Jersey taxes an owner's share of profit earned in New Jersey. An LLC taxed as a partnership with New Jersey income and more than two owners also pays a filing fee for each owner, and a company with no New Jersey business owes neither.

The annual report must name the managers, or the managing members, with an address for each, and it's public.

02The straight answer

Should a founder abroad form in New Jersey?

New Jersey cut its filing fee to $100 in July 2026, and the annual report is $75, so it's middling on cost. What it doesn't offer is privacy. Every annual report has to name the managers or managing members, with their addresses, and that goes on the public record. A business that will operate in New Jersey has to register there anyway. For a founder abroad who won't, Wyoming costs a little less and leaves your name off.

Yes. New Jersey, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in New Jersey. Its recurring filing is due by the last day of the month the LLC was formed in, each year starting the year after.

It costs $100 to file, and then $75 a year. Over five years that comes to $400 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little.
