Michigan taxes an owner's share of profit earned in Michigan. A non-resident owner with no Michigan activity generally owes none, and there's no franchise tax on LLCs.

The articles and the annual statement name the resident agent and the registered office. Members and managers are not required on either.

02The straight answer

Should a founder abroad form in Michigan?

Michigan is cheap to keep and private. It's $50 to form and $25 a year, less than half of Wyoming over five years, and neither the articles nor the annual statement name the owners. It's a sound home for a company in Detroit or Grand Rapids. For a founder abroad the gap is recognition. A Michigan LLC owned from overseas is unusual enough that a bank may ask more questions than it would about a Wyoming one.

By 15 February of the year after you form the LLC. If you form it after 30 September, the first statement is due a year later, so an LLC formed in November 2026 files first by 15 February 2028. It costs $25, and an LLC that stops filing loses its good standing after two years.

Yes. Michigan, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a resident agent, Michigan's name for a registered agent, with a street address in Michigan. Its recurring filing is due by 15 February each year, starting the year after the LLC is formed, or a year later if it was formed after 30 September.

It costs $50 to file, and then $25 a year. Over five years that comes to $150 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Michigan, it'll need to register there whichever state formed it, and we'll tell you so before you order.
