State income tax

Arkansas taxes an owner's share of profit earned in Arkansas. A non-resident owner with no Arkansas activity generally owes none, but the $150 franchise tax is owed either way.

The public record

The certificate must name at least one member or manager, and it's a public record. The yearly franchise tax report asks for the names of every member or manager.

02The straight answer

Should a founder abroad form in Arkansas?

An Arkansas LLC is cheap to start, at $45 online, but it owes $150 in franchise tax every year from the year after it's formed. That's two and a half times what Wyoming charges each year, and close to twice Wyoming's cost over five years. The certificate also has to name at least one member or manager, and anyone can look it up. For a founder abroad, Arkansas offers nothing to make up for either. Unless the business will actually operate in Arkansas, Wyoming is the better choice.

By 1 May of the year after you form the LLC, whatever month you formed it in. An LLC formed in December has less than five months before its first payment. Every Arkansas LLC pays the same $150, whether or not it earned anything, and the state doesn't grant extensions. A late report adds a $25 penalty, plus interest of about 10% a year until it's paid.

Yes. Arkansas, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Arkansas. Its recurring filing is due by 1 May each year, starting the year after the LLC is formed.
