Hawaii taxes an owner's share of profit earned in Hawaii, and its general excise tax is charged on gross income from business in the islands, not on profit. A company with no Hawaii business owes neither.

Should a founder abroad form in Hawaii?

Hawaii is cheap to keep, at $50 to form and $15 a year, but it isn't private. The articles list the members, or the managers, with their addresses, and Hawaii law opens every business filing to the public. The general excise tax is the other thing to know about. It's charged on nearly everything a business earns in Hawaii, before expenses. None of that touches a company with no business in the islands. For a founder abroad, though, Wyoming does everything Hawaii does and keeps your name off the record.

Yes. Hawaii, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Hawaii. Its recurring filing is due by the end of the calendar quarter that holds the anniversary of the LLC's registration, each year starting the year after.

It costs $50 to file, and then $15 a year. Over five years that comes to $110 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Hawaii, it'll need to register there whichever state formed it, and we'll tell you so before you order.
