Indiana taxes an owner's share of profit earned in Indiana. A non-resident owner with no Indiana activity generally owes none, and there's no franchise tax.

The public record

The articles don't list the members, but the business entity report must name at least one governing person, such as a member or manager, with an address, and INBiz shows it publicly.

02The straight answer

Should a founder abroad form in Indiana?

Indiana is cheap to keep. It's $95 to form online, and the report comes only every second year, at $32, so five years cost less than half of Wyoming's. The articles don't ask who owns the company, but the first business entity report does. It has to name at least one governing person, such as a member or a manager, and Indiana's business search shows that name. If you'd rather your name stayed off the record, Wyoming does that for a little more.

Indiana is right anyway when

  • You'll have staff, an office, a warehouse or property in the state

Every two years. The business entity report is due in the month the LLC was formed, starting two years after formation, so an LLC formed in March 2026 files in March 2028. It costs $32 online or $50 on paper.

Yes. Indiana, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a registered agent with a street address in Indiana. Its recurring filing is due in the month the LLC was formed, every second year, starting two years after formation.

It costs $95 to file, and then $32 every two years. Over five years that comes to $159 in state charges. A Wyoming LLC costs $342.40 over the same five years.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Indiana, it'll need to register there whichever state formed it, and we'll tell you so before you order.
