Should a founder abroad form in Ohio?

Ohio is easy to keep an LLC in. It costs $99 to form, there's no annual report, and the articles don't have to name the owners, so five years cost less than a third of Wyoming's. For a company that will operate in Ohio it's a sound choice. From abroad, the difference is familiarity. Banks and payment processors see Wyoming LLCs owned from overseas far more often than Ohio ones, and an unfamiliar state can mean more questions before an account opens.

No. Ohio doesn't ask LLCs for an annual or biennial report, so after the $99 filing fee there's no yearly state charge. The LLC must keep a statutory agent in Ohio, which is Ohio's name for a registered agent, and update the Secretary of State if the agent changes.

Yes. Ohio, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a statutory agent, Ohio's name for a registered agent, with a street address in Ohio. Ohio LLCs file no annual report.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Ohio, it'll need to register there whichever state formed it, and we'll tell you so before you order.
