State income tax

Arizona taxes an owner's share of profit earned in Arizona. A non-resident owner with no Arizona activity generally owes none, and there's no franchise tax.

The public record

The articles list the members of a member-managed LLC, or the managers and any member owning 20% or more of a manager-managed one. The articles are public.

Also required

A newspaper notice of the new LLC, run three weeks in a row within 60 days, unless the statutory agent is in Maricopa or Pima County.

Should a founder abroad form in Arizona?

An Arizona LLC costs $50 to form and files no annual report, so it's one of the cheapest states to keep a company in, and far cheaper than Wyoming over five years. The trade-off is privacy. Anyone can look up the articles, and they name the owners, or the managers and anyone owning 20% or more. If your statutory agent is outside Maricopa and Pima counties, you'd also pay for a newspaper notice. Wyoming costs more but keeps your name off the public record.

Only if its statutory agent is outside Maricopa and Pima counties. For those two, the Commission publishes the notice on its own website for free. Anywhere else, the notice runs in a newspaper for three consecutive weeks, within 60 days of formation, at the newspaper's rate.

Yes. Arizona, like every state, doesn't require an LLC's owners to be US citizens or residents. It does require a statutory agent, Arizona's name for a registered agent, with a street address in Arizona. Arizona LLCs file no annual report.

No. We file in Wyoming and Delaware only. For a founder outside the US, they're the two states worth being in, and we'd rather know two states well than fifty a little. If your business will have staff, an office, stock or property in Arizona, it'll need to register there whichever state formed it, and we'll tell you so before you order.
